Corporate Counsel – Governance & Securities

📋 Description

• Prepare board/committee materials, resolutions, consents, and governance docs.
• Maintain corporate formalities across entities; ensure compliance with laws.
• Design scalable governance for public-company readiness; SEC reporting and policies.
• Partner with Finance to support internal controls over financial reporting and audit readiness.
• Maintain auditable systems for governance docs, equity records, and filings.
• Provide training on governance, equity, and securities compliance.

🎯 Requirements

• 5+ years of experience in corporate and securities law, including equity administration.
• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with at least one US state bar.
• Experience managing complex corporate transactions.
• Strong knowledge of U.S. securities laws, including the 1933 and 1934 Acts.
• Excellent communication, analytical, and organizational skills; cross-functional.
