Corporate Counsel

📋 Description

• Support corporate matters including governance and capitalization.
• Assist financing, M&A, and other strategic initiatives.
• Advise teams on contract structure, risk allocation, and negotiations.
• Coordinate with outside counsel on corporate, tax, or M&A matters.
• Draft, review, and negotiate vendor, customer, SaaS, and tech contracts.
• Create scalable templates, playbooks, and contracting processes.

🎯 Requirements

• J.D. with active bar membership in at least one US jurisdiction (NY/CA preferred).
• 7+ years in top law firm and/or in-house (commercial contracts and corporate).
• Experience drafting and negotiating tech and SaaS contracts.
• Strong governance, financings, and M&A knowledge.
• Strong business judgment; translate legal advice into business guidance.
• Excellent written, verbal, and interpersonal communication.
