📋 Description

• Support securities, governance, and M&A, plus strategic transactions.
• Advise on securities compliance policies and Insider Trading Policy.
• Advise on governance, board materials, and subsidiary management; templates.
• Support executive compensation, equity plans, and incentives.
• Provide guidance on international operations.
• Partner on corporate development: M&A, JVs, partnerships, investments.

🎯 Requirements

• J.D. and active bar membership in good standing.
• 2-5 years' legal experience in public company securities and governance.
• Strong contract drafting and negotiation; balance risk, speed, business impact.
• Clear, concise communicator who explains topics to non-lawyers.
• Prioritize, create processes, and unblock cross-functional partners.
• Ability to work from the Pittsburgh, PA office.
