Commercial Counsel

📋 Description

• Lead negotiation/review of SaaS, services, procurement, and tech contracts.
• Negotiate with vendors/customers via calls/virtual meetings; state LM position.
• Advise Sales/Procurement with crisp, outcome-focused guidance balancing revenue and risk.
• Build AI-enabled workflows, playbooks, automation for drafting and redlining with safeguards.
• Improve contracting workflows; automate repeats; embed structured knowledge.
• Ensure procurement contracting aligns with FedRAMP, ESG, and regulatory needs; automate workflows.

🎯 Requirements

• J.D. from an accredited law school; active bar in at least one US jurisdiction.
• 6+ years in commercial transactions for B2B SaaS/software/data-driven businesses.
• Experience drafting/negotiating SaaS, services, vendor/procurement, data-processing agreements.
• Experience partnering cross-functionally with Sales/Procurement/Product/Security teams.
• Familiar with privacy, AI, and security issues in contracting and product counseling; risk assessment.
• Experience building templates/playbooks/workflows; CLM/tools; AI-in-legal is a plus.
