📋 Description

• Counsel CEO, exec team, and Board on governance, risk, compliance, and strategy.
• Lead board governance, prepare materials, and manage corporate formalities.
• Drive strategic transactions: M&A, equity raises, and investments.
• Support development work for large energy customers, e.g., data centers seeking green behind-the-meter energy.
• Manage enterprise risk across the legal portfolio: insurance, litigation, and regulatory compliance.
• Supervise and mentor the in-house team and build toward broader project development and finance expertise.

🎯 Requirements

• JD from an accredited law school; active bar membership; 15-20+ years of legal experience.
• Large-firm training plus in-house leadership (AGC/DGC/GC) at an energy company or infrastructure investor.
• Expertise in corporate governance, board management, and internal authorization frameworks.
• Strong transactional background in M&A, equity investments, and capital formation.
• Experience with energy project development (power/renewables) and project finance.
• Demonstrated experience overseeing enterprise risk functions including insurance, compliance, and litigation.
