📋 Description

• Lead complex SaaS and enterprise transactions from first engagement through signature.
• Draft and negotiate SaaS MSAs, security, privacy, and AI terms, plus SOWs.
• Partner with Sales, Deal Desk, Finance, Security, Privacy, and Product to resolve issues.
• Advise on data privacy, information security, AI terms, IP, and open source matters.
• Help improve templates, fallback positions, guidance, and contracting processes.
• Provide concise, practical legal advice balancing risk with business goals.

🎯 Requirements

• 7+ years of tech transactions experience at a law firm or in-house.
• Significant experience drafting and closing complex SaaS/cloud enterprise transactions.
• Strong familiarity with data privacy, information security, AI terms, IP, and open source.
• Independent, strategic negotiator who translates risk into practical advice.
• Experience supporting cloud/infrastructure or technology companies.
• Strong communication and ability to manage multiple matters.
• Experience with enterprise customers, including regulated industries, preferred.
• J.D. and active bar membership in at least one U.S. jurisdiction.
