Work across teams to support corporate governance and public company reporting
Prepare agendas, resolutions, and minutes for Board and committee meetings
Prepare, review and file regulatory filings for state insurance and secretary of state departments
Review SEC filings including Form 8-K, 10-K, 10-Q and Proxy Statements
Review press releases, investor presentations and other public announcements for SEC compliance
Review, draft and negotiate commercial contracts, such as SaaS, professional services, and marketing agreements

🎯 Requirements

2-3+ years corporate transactional law (firm and in-house)
3+ years experience with commercial contracts including complex deals
Experience at or with a publicly traded company; insurance/financial services preferred
Bachelor and JD from an accredited law school
In-house experience with startups/tech; global experience a plus
Bar admission in good standing, New York preferred
