Senior Counsel, Transactions

📋 Description

• Counsel and advise M&A team on structuring renewable energy asset transactions.
• Draft, review, and negotiate MIPAs, APAs, and related documents.
• Identify and counsel on risks in purchase/sale transactions; develop mitigations.
• Collaborate with cross-functional teams on purchase/sale transactions and financing.
• Improve due diligence, negotiation, financing processes; draft templates and SOPs.
• Draft/negotiate commercial agreements: JVs, PPAs, interconnection, community solar, and O&M.

🎯 Requirements

• J.D. from ABA-accredited law school with strong academics.
• 6-8 years of substantial legal experience at top law firm or corporate dept.
• Expert knowledge of M&A deal points, esp. MIPAs and APAs.
• Experience drafting/negotiating MIPAs and APAs for renewables.
• Project finance, construction financing, and tax equity experience a plus.
• Licensed to practice law in the relevant state; strong communication.
