Senior Counsel, Transactions

📋 Description

• Counsel and advise M&A on structuring renewables transactions to buy/sell assets.
• Draft/review/negotiate MIPAs, APAs, and related documents for renewables deals.
• Identify and counsel on risks in purchase/sale transactions; implement mitigations.
• Collaborate with cross-functional teams on deals and related financing facilities.
• Improve due diligence, negotiation, financing, and closing; draft SOPs.
• Draft and negotiate JV agreements, PPAs, interconnection, and O&M contracts.

🎯 Requirements

• Law degree from ABA-accredited law school.
• 6-8 years of relevant legal experience in top law firm or corporate legal dept.
• Passion for accelerating renewable energy adoption.
• Expert in M&A issues, especially MIPAs and APAs.
• Extensive experience drafting/negotiating MIPAs/APAs for renewables.
• Project finance, construction financing, and tax equity experience a plus.
