Senior Counsel, Transactions

📋 Description

• Counsel and advise M&A on structuring renewable energy deals.
• Draft, review and negotiate MIPAs, APAs, and related documents.
• Identify and mitigate risks in purchase/sale transactions.
• Collaborate across legal, real estate, project development, and financing teams.
• Develop and implement measures to improve due diligence, negotiation, and closing processes.
• Draft and negotiate JV agreements, PPAs, interconnection.

🎯 Requirements

• Law degree from an ABA-accredited law school.
• 6-8 years of substantial legal experience at top-tier firm or corporate.
• Passion for accelerating renewable energy adoption.
• Expert knowledge in M&A deal points: MIPAs and APAs.
• Experience drafting/negotiating PPAs, tax equity, and project finance.
• Strong communication, judgment, and ability to work independently.
