Senior Counsel, Strategic Transactions

📋 Description

• Work on corporate transactions including M&A, strategic investments, and capital markets.
• Draft, negotiate, and review transaction documents; advise on structuring and due diligence.
• Partner with Corporate Development and cross-functional teams to execute transactions.
• Support post-closing obligations across legal and other departments.
• Prioritize business objectives and support overall company success.
• Work efficiently with outside counsel.
• Support other internal legal initiatives as needed.

🎯 Requirements

• At least 5 years of transactional experience, incl. M&A and securities.
• In-house experience at a high-growth tech or public company plus top firm background.
• Ability to operate autonomously on corporate transactions and manage multiple matters.
• Excellent drafting, project management, and legal interpretation skills.
• Strong interpersonal skills; able to collaborate with cross-functional teams and executives.
• J.D. degree and bar admission (NY/NJ/CA/DC/WA preferred).
