Draft and negotiate offering documents, subscriptions, and side letters.
Collaborate on fund registration, offerings, and updates.
Advise on Advisers Act and Investment Company Act compliance.
Coordinate regulatory filings (Form ADV, Form PF, N-PORT, N-CEN).
Track SEC rule changes affecting private and registered funds.

🎯 Requirements

JD from an accredited law school; licensed to practice.
2–6 years of experience at a law firm, financial services company, or investment adviser.
Knowledge of structuring/operating private funds and interval funds.
Familiarity with interval funds, closed-end funds, or semi-liquid vehicles.
Understanding of private market valuation and liquidity mechanisms.
Strong drafting, analytical, and organizational skills.
