Senior Counsel

📋 Description

• Lead SEC filings (10-K/10-Q/8-K) with finance and IR.
• Manage proxy materials and board materials, agendas, and minutes.
• Advise on governance, regulatory compliance, and insider trading policies.
• Support financing, M&A, and other corporate transactions.
• Oversee outside counsel; manage scope and budget.
• Partner cross-functionally with Finance, Treasury, HR, Compliance on strategic initiatives.

🎯 Requirements

• JD and active license to practice law in any US state.
• 8+ years of relevant legal experience, in law firm and/or in-house at a US public company.
• Strong drafting, organizational, written and oral communication skills.
• Experience with SEC reporting, securities law, corporate governance, and board support.
• Chicago-based; able to work from the corporate office with in-office days.
• Desire to grow in a highly regulated, fast-paced environment.
