Senior Counsel

📋 Description

• Manage securities class actions: pleadings, discovery, motions, and settlements.
• Lead defense of shareholder derivative litigation.
• Partner cross-functionally with corporate and commercial teams on filings.
• Direct outside litigation counsel from inception through resolution.
• Monitor developments in corporate law and advise on governance and disclosure.
• Maintain relationships with D&O insurers and brokers to manage claims.

🎯 Requirements

• 7+ years of litigation experience with securities class actions.
• Deep familiarity with corporate law, fiduciary duties, and securities laws.
• Experience litigating in Delaware Chancery Court.
• Familiar with PSLRA and federal pleading standards.
• Proven track record managing outside counsel and D&O insurance.
• Juris Doctor and active US state bar membership.
