Senior Corporate Counsel

📋 Description

• Provide corporate and commercial legal guidance across the business.
• Draft, review, and negotiate commercial agreements (MSA, SaaS, NDAs, licenses).
• Support M&A, strategic investments, financings and due diligence.
• Assist governance matters, board materials, SEC reporting, and recordkeeping.
• Research regulatory compliance including data privacy and AI.
• Collaborate with internal teams and other legal groups.
• Manage outside counsel for discrete matters.
• Improve internal legal processes, templates, and policies.

🎯 Requirements

• J.D. from an accredited law school.
• Admitted to practice law in New York, in good standing.
• 5+ years corporate legal experience; in-house preferred but not required.
• Strong contract drafting and negotiation; able to manage independently.
• Solid understanding of corporate, transactional, and regulatory matters.
• Able to manage multiple matters simultaneously in a fast-paced environment.
• Keen interest in learning other areas of law and initiatives.
• Excellent written and oral communication with attention to detail.
• Business-minded with practical legal solutions.
