Senior Corporate Counsel

📋 Description

• Provide legal advice on corporate, commercial, and transactional matters.
• Draft, review, and negotiate customer, partner, and reseller agreements.
• Advise on governance, compliance, capital raises, and international expansion.
• Coordinate with outside counsel and manage services and expenses.
• Support privacy programs; draft policies and negotiate with clients.
• Prepare Board materials and maintain cap table; ensure global compliance.

🎯 Requirements

• JD and bar admission in good standing; NY bar preferred.
• 3+ years at a major law firm; in-house a plus.
• Experience in SaaS agreements and M&A transactions.
• Independent, self-motivated; works well under pressure.
• Detail-oriented with strong negotiation and closing skills.
• Excellent written and verbal communicator; high integrity.
