Senior Commercial Counsel

📋 Description

• Lead commercial negotiations by drafting, reviewing, and negotiating MSAs, Order Forms, DPAs.
• Partner with Sales and Deal Desk to navigate complex enterprise terms.
• Collaborate on strategic/channel partner agreements, including API terms.
• Manage data privacy and security reviews; handle DPA negotiations with Security.
• Build scalable contracting workflows using AI tools and templates.
• Advise on risk, liability, and compliance with a business lens.

🎯 Requirements

• JD from an accredited law school; active U.S. bar in at least one jurisdiction.
• 7+ years of legal experience, with at least 3 years in enterprise commercial work.
• Deep expertise in B2B SaaS agreements: MSAs, SaaS terms, AI addendums, SLAs.
• Working knowledge of GDPR, CCPA, and related privacy frameworks.
• In-house SaaS experience required.
• Familiarity with HR tech, recruiting, or workforce software a plus.
