Overview
Peloton is seeking a Sr. Counsel, Corporate Securities and Governance to lead corporate securities matters and governance initiatives across the company. This is a full-time, on-site position based in New York.
Responsibilities
- Provide strategic legal counsel on corporate securities, governance matters, and regulatory compliance.
- Advise on SEC filings including 10-K, 10-Q, 8-K, and related disclosures; prepare and review important filings and related investor communications.
- Structure and negotiate securities offerings, equity plans, and other capital markets activities; coordinate with Finance and Investor Relations.
- Develop and maintain corporate governance framework, board materials, committee charters, and corporate records; support board and committee meetings.
- Supervise outside counsel and manage outside counsel relationships; ensure timely and accurate deliverables.
- Monitor regulatory developments and advise on policy changes affecting Peloton’s governance and securities programs.
Qualifications
- Juris Doctor from an ABA-accredited law school; admission to the New York bar (or eligible to obtain admission).
- 7+ years of corporate securities and governance experience, preferably with a public company or tech/consumer business.
- Strong drafting, negotiation, and communication skills; excellent business judgment and ability to partner cross-functionally.
- Experience with SEC reporting, corporate transactions, and governance best practices.
