Legal Counsel, M&A

📋 Description

• Draft, negotiate, and provide strategic advice on M&A transactions worldwide.
• Take part in deal structuring, due diligence, negotiations, signing and closing.
• Lead or coordinate legal due diligence across corporate, IP, employment, and regulatory workstreams.
• Draft, negotiate, and advise on LOIs, NDAs, SPAs, shareholders' agreements, earn-out mechanisms, and post-closing arrangements.
• Collaborate with cross-functional teams including other corporate functions.
• Support on other legal topics, especially compliance (labor law, insurances, Sapin II).

🎯 Requirements

• Bachelor degree or higher from an accredited law school in France or the EU; admission to practice law in another jurisdiction (USA a plus).
• 5-8 years relevant legal experience, including at least 4 in an international law firm.
• Strong experience structuring and negotiating M&A, including large to mid-cap acquisitions from due diligence through signing and closing.
• Familiarity with VC-PE transactions: shareholders' agreements, liquidation preferences, anti-dilution, incentives, governance.
• Demonstrated ability to navigate cross-border M&A structuring and multi-jurisdictional transactions with external counsel.
• Excellent written and verbal communication in English and French; ability to present complex concepts to non-legal stakeholders.
