  • Advise on employee benefits and compensation tax issues for transactions and day-to-day operations
  • Advise on U.S. and cross-border tax matters for equity and cash incentives (409A, RSUs, stock options)
  • Support tax advisory on transactions (M&A, financing, JVs, restructurings) and their impact on compensation and equity programs
  • Develop and document tax positions for corporate transactions and equity/compensation initiatives
  • Serve as cross-functional tax advisor for compensation and benefits issues, ensuring US and foreign regulatory compliance
  • Develop policies to ensure ongoing US and foreign tax compliance of compensation plans

🎯 Requirements

  • 6-10 years of equity/compensation/benefits tax experience (Big Law or Big 4 preferred)
  • JD required
  • Deep expertise in US federal and international tax rules for executive compensation, benefits, and employment taxes
  • Experience with M&A tax due diligence on equity/compensation and integration workstreams
  • Strong communication skills to translate complex tax issues into actionable guidance
  • Strong analytical/organizational skills with multi-project priority ability
