Duolingo is seeking a Senior Manager of Equity Administration to lead and scale our equity program. This role is based in New York, NY and reports to the Vice President of People.

About the Role

  • Lead and administer all aspects of the company's equity programs (RSUs, stock options, and related awards).
  • Design, implement, and maintain efficient equity grant processes, vesting schedules, and reporting for compliance with applicable laws and tax requirements.
  • Partner with HR, Finance, Legal, and external providers to ensure accurate data, audits, and timely disclosures.
  • Oversee external vendors and systems for equity administration (e.g., Carta) and ensure data integrity.
  • Provide strategic guidance on equity programs to senior leadership to support hiring, retention, and performance.

Responsibilities

  • Manage global equity program administration, including grants, exercises, vesting, and terminations.
  • Ensure compliance with SOX, US GAAP, 409A, and tax withholding matters.
  • Support annual and quarterly reporting, audits, and board materials as needed.
  • Collaborate with cross-functional teams to improve processes and data quality.

Requirements

  • Bachelor's degree and 7+ years of equity administration or related experience.
  • Strong knowledge of equity plans, 409A, securities laws, taxation, and regulatory requirements in the US.
  • Experience with equity administration platforms (e.g., Carta) and reporting tools; proficient data analysis skills.
  • Excellent communication and leadership abilities; ability to influence cross-functional teams.
