Director, Corporate Legal, Transactions & Capital Markets

📋 Description

• Lead internal counsel on private fundraising, financing, and M&A deals.
• Draft/negotiate term sheets, definitive docs, and closings.
• Collaborate with Corporate Development on fundraising strategy and governance.
• Oversee cross-border transactions, licensing considerations, and post-close.
• Advise on secondary sales and liquidity programs for shareholders.
• Build scalable processes and use LegalTech/AI to speed deals.

🎯 Requirements

• U.S. legal qualification and active license in at least one U.S. jurisdiction.
• 10+ years in-house or private practice advising on private financing and M&A.
• Experience drafting/negotiating term sheets, purchase/merger agreements, investor rights.
• Strong knowledge of U.S. corporate and securities law for private companies.
• Experience in high-growth tech/fintech/payments with cross-border structures (preferred).
• Combination of top-tier firm and in-house experience, ideally late-stage growth/pre-IPO.
