📋 Description

• Lead internal counsel on private fundraising and financing deals.
• Draft/negotiates term sheets and definitive agreements; manage due diligence.
• Lead end-to-end cross-border M&A and strategic transactions.
• Structure secondary sales and liquidity programs for shareholders.
• Advise on governance, intragroup structuring, and corporate actions.
• Coordinate with Regulatory Legal, Compliance, Data & Privacy to align licenses.

🎯 Requirements

• U.S. legal qualification and active license in at least one U.S. jurisdiction.
• 10+ years in-house or private practice advising on private financing & M&A.
• Experience drafting/negotiating term sheets, purchase/merger agreements, etc.
• Strong knowledge of U.S. corporate/securities law for private companies.
• Ability to work with senior execs and cross-functional teams; risk-balanced.
• Fintech/payments exposure; cross-border handling; mix of law firm & in-house.
