Corporate Counsel

Overview

The DigiCert Corporate Counsel will provide strategic legal guidance to a fast-growing cybersecurity company, supporting global commercial activities, privacy/compliance programs, and governance. This remote role requires strong negotiation skills, cross-functional collaboration, and experience in technology licensing, data privacy, and corporate matters.

What you'll do

• Draft, review, and negotiate commercial agreements including SaaS, licensing, services, data processing, channel partner, and other commercial arrangements.
• Counsel on data privacy and security matters, including GDPR, CCPA/CPRA, and international privacy regimes; support a scalable privacy program.
• Assist in corporate governance, regulatory compliance, securities, and risk management matters.
• Provide guidance on anti-corruption, export controls, contracting risk, and other regulatory issues.
• Support mergers and acquisitions due diligence and integration efforts as needed.
• Collaborate with Sales, Product, Engineering, Security, Procurement, Finance, and HR teams; manage relationships with outside counsel.
• Help develop policies, training, and processes to scale legal support across the company.

What we're looking for

• Juris Doctor from an ABA-accredited law school; active bar admission in good standing.
• Minimum 6 years of relevant legal experience in technology, software licensing, or a closely related field.
• Strong negotiation and drafting skills with the ability to translate complex legal concepts into practical business terms.
• Experience with data privacy laws (GDPR, CCPA/CPRA) and global compliance programs; ability to work cross-functionally in a fast-paced environment.
• Excellent communication, analytical thinking, and problem-solving abilities; comfortable handling multiple priorities.
• Prior in-house experience at a tech or software company is a plus.
