Sr. Commercial Counsel (Financial Services)

Overview

Databricks is seeking a Senior Commercial Counsel (Financial Services) to join its legal team in Denver, Colorado. This role will provide expert legal guidance on complex commercial agreements, licensing arrangements, data processing and privacy considerations, and regulatory issues affecting Databricks' financial services offerings.

Responsibilities

• Lead negotiation and drafting of commercial agreements including SaaS contracts, licensing, data processing agreements, master services agreements, and strategic partnerships.
• Advise on regulatory and compliance matters impacting financial services products; assess risk and counsel product, sales, security, and privacy teams.
• Collaborate with cross-functional teams to ensure contracts align with business objectives and Databricks' risk tolerance.
• Develop and maintain contract templates, playbooks, and training materials to improve efficiency and consistency across the company.
• Manage third-party risk, oversee complex transactions, and coordinate with external counsel when needed.
• Provide pragmatic legal guidance to accelerate business initiatives while protecting the company’s interests.

Qualifications

• Juris Doctor from an accredited law school and bar admission in a relevant jurisdiction.
• 7+ years of experience as a commercial counsel focusing on financial services, fintech, or enterprise software transactions.
• Strong drafting and negotiation skills for SaaS, licensing, data privacy/security addenda, and other commercial agreements.
• Excellent communication and collaboration skills; ability to operate effectively in a fast-paced tech environment.
• Familiarity with data privacy and cross-border data transfer issues is a plus.
