Commercial Counsel

Overview

Databricks is seeking a Senior Commercial Counsel to support global commercial activities for our data analytics platform. This role will draft, negotiate, and manage enterprise licenses, data processing agreements, and channel partnerships. You will collaborate with Sales, Product, Legal, Security, and Partnerships to balance business goals with risk management.

Responsibilities

• Draft, review, and negotiate enterprise software licenses, data processing agreements, and related commercial contracts.
• Negotiate terms including pricing, SLAs, data security, privacy, IP rights, and cross-border data transfers.
• Provide practical legal guidance to Sales and Partnerships to execute deals efficiently while protecting Databricks' interests.
• Develop and maintain contract templates and playbooks; train cross-functional teams.
• Ensure compliance with applicable laws and regulations (privacy, export controls) across jurisdictions.
• Manage contract lifecycle from intake to execution and renewal.

Qualifications

• Juris Doctor from an accredited law school; active bar admission in California or New York (or ability to practice in one of these jurisdictions).
• Minimum 6 years of experience in tech companies or law firms focusing on software licensing and commercial contracts, preferably involving data platforms or cloud services.
• Strong negotiation, drafting, and communication skills; ability to manage multiple deals and stakeholders.
• Experience with GDPR/CCPA, data privacy, data security, IP considerations, and regulatory compliance.
• Ability to work cross-functionally in a fast-paced environment; willingness to travel as needed.
