Commercial Counsel

Role Overview

Databricks is seeking a Commercial Counsel to support the legal aspects of enterprise software transactions, licensing, partnerships, and data privacy/compliance. This role is based in Denver, Colorado and requires close collaboration with Sales, Product, Security, Privacy, and Compliance teams to enable business growth while effectively managing legal risk.

Responsibilities

• Lead negotiations and drafting of complex commercial agreements including SaaS, licensing, services, and partnerships.
• Draft, review, and negotiate contracts; maintain and improve templates and playbooks.
• Advise on data privacy, data security, IP, export controls, and regulatory compliance as it relates to commercial transactions.
• Collaborate with Sales, Privacy, Security, Product, and Compliance teams to balance legal risk with business needs.
• Manage contract lifecycle, risk assessment, and renewal/expansion opportunities.
• Support cross-border transactions and international expansion, including applicable laws and data transfer considerations.

Requirements

• Juris Doctor or equivalent law degree; licensed to practice in the United States (Colorado bar or eligibility to become admitted).
• 6+ years of experience in commercial law, preferably with technology, software, or SaaS companies.
• Strong contract drafting and negotiation skills; experience with enterprise software licensing, data privacy programs (e.g., GDPR, CCPA), and related regulatory matters.
• Excellent communication, collaboration, and stakeholder management abilities.
• Ability to manage multiple high-priority deals in a fast-paced environment; strong business judgment.
• Willingness to travel as needed.

Nice-to-have

• Experience with international data transfers and cross-border data flows; familiarity with sanctions, export controls, and related compliance topics.
