Counsel - Corporate Finance

📋 Description

• Manage debt finance workstreams: term loans, revolvers, SPV financings.
• Draft, review, negotiate term sheets, credit agreements, guarantees, security docs.
• Coordinate with internal teams and outside counsel to drive signing and close.
• Maintain debt administration: collateral, certificates, reporting.
• Process improvements: playbooks, templates, trackers, closing checklists.
• As-needed legal support across corporate finance matters.

🎯 Requirements

• JD from an accredited law school; admitted to practice in at least one US jurisdiction (NY/CA preferred).
• 4+ years of law firm experience (in-house a plus) in complex debt finance and secured transactions.
• Experience coordinating multi-stakeholder closings and due diligence.
• Exceptional drafting and negotiation skills; balance legal risk with business objectives.
• Strong collaboration and communication; ability to work with stakeholders at all levels.
• Nice to Have: GPU/AI financing experience; project finance; late-stage advising.
