Corporate Paralegal

📋 Description

• Support board and committee meeting prep and maintain corporate records.
• Assist compliance for international subsidiaries, including entity formation.
• Prepare SEC and regulatory filings (10-K/Q, proxies, annual meeting materials).
• Prepare directors and officers questionnaires and related party questionnaires.
• Coordinate Section 16 filings and stock ownership/issuance matters, incl. 10b5-1 plans.
• Collaborate with investor relations and equity management to improve internal processes.

🎯 Requirements

• Paralegal certificate and/or Bachelor's degree.
• 5+ years of legal experience in paralegal or related field.
• Corporate experience with public companies, including SEC compliance and governance.
• Proactive self-starter with strong project management.
• Excellent interpersonal skills and professional judgment.
• Very well organized, detail-oriented, able to manage multiple projects.
