Modernize board processes, committee charters, and governance policies
Architect securities-law framework (1933/34 Acts, Reg D, Rule 701, insider trading)
Collaborate with Finance on internal controls and audit compliance
Manage securities offerings, stock financings, resales, and stockholder relations
Draft, negotiate, and review a broad range of commercial agreements

🎯 Requirements

JD from ABA-accredited law school
5+ years of corporate law experience
In-house counsel experience
Ability to register as in-house counsel in California
Experience representing mature private and public companies
Experience with securities law compliance and complex corporate structures and transactions
