Corporate Counsel

📋 Description

• Prepare, review, and file SEC reports and regulatory filings (quarterly, proxy, 16).
• Review earnings materials and investor presentations.
• Assist governance; prepare Board/Committee materials and public policies.
• Support equity matters, including 10b5-1 plans and trading policy.
• Develop AI-enabled processes to scale legal workflows.
• Provide legal support for transactional and corporate matters, including financings and strategic transactions.

🎯 Requirements

• 4+ years of legal experience at top-tier law firms and in-house.
• J.D. and active status in a U.S. state bar.
• Deep knowledge of corporate and securities laws and SEC reporting.
• Excellent interpersonal skills and business judgment.
• Proactive, adaptable, and able to prioritize multiple projects.
• Curious and eager to learn; self-aware of knowledge gaps.
