Corporate Counsel

📋 Description

• Advise on corporate and securities matters
• Assist with public company reporting obligations and filings
• Assist with governance materials like board resolutions and stockholder docs
• Support equity incentive plan matters with Finance
• Review and draft corporate and commercial agreements (inbound/outbound)
• Counsel on new business and product initiatives

🎯 Requirements

• 3-6 years of experience, including 2+ years at a leading national law firm.
• Prior experience with public company filings, reporting obligations, and governance.
• Familiarity with general corporate, securities, and commercial transactional work.
• California Bar membership or eligibility to practice as California in-house counsel.
• Strong drafting, writing, and communication skills.
• Ability to identify and analyze complex legal issues, assess risk, and present clear recommendations.
