Corporate Paralegal

Overview

CoreWeave is seeking a Corporate Paralegal to join our legal operations team. You will support corporate governance, entity management, contract lifecycle management, licensing, IP matters, and regulatory compliance across multiple locations including New York, NY; Livingston, NJ; Sunnyvale, CA; and Bellevue, WA. This role requires strong organizational skills, discretion, and the ability to work cross-functionally in a fast-paced tech environment.

Key Responsibilities

• Maintain and update corporate records for multiple entities across jurisdictions
• Prepare, review, and negotiate a variety of agreements (NDAs, vendor agreements, service agreements, licensing agreements)
• Assist with entity formation, dissolution, and general corporate housekeeping
• Support IP assignments, licensing, and technology transfer processes
• Handle compliance matters, securities filings, and regulatory reporting
• Manage contract lifecycle in contract management systems; track renewals and expirations
• Coordinate with outside counsel and internal teams; assist with due diligence for M&A activities
• Maintain confidentiality and implement information governance standards

Required Qualifications

• 3+ years as a paralegal or corporate legal assistant, preferably in tech or cloud computing sectors
• Strong understanding of corporate governance, contract management, and IP licensing
• Experience with contract management systems and e-signature platforms
• Excellent organizational skills, attention to detail, and ability to manage multiple deadlines
• Strong written and verbal communication skills; ability to work cross-functionally
• Bachelor’s degree; paralegal certificate preferred

Preferred Qualifications

• Experience with venture-backed startups or high-growth technology companies
• Familiarity with data privacy/regulatory frameworks
