CoreWeave is seeking an Associate General Counsel, Securities to join our growing legal team. You will serve as the company's lead advisor on securities matters, corporate governance, regulatory compliance, and related transactional work. This is a highly visible in-house role at a fast-growing technology company.

Responsibilities

Serve as the primary securities counsel, advising on SEC reporting, disclosure controls, and corporate governance matters.
Lead and support financing transactions, including equity and debt offerings, and private placements.
Draft, review, and negotiate complex commercial agreements and strategic partnerships.
Coordinate with finance, treasury, and business teams to ensure accurate and timely regulatory filings and disclosures.
Supervise outside counsel on transactions and regulatory matters; manage budgets and timelines.
Support mergers, acquisitions, and other strategic initiatives with due diligence and integration considerations.
Develop and maintain internal policies, training, and risk management programs related to securities compliance.

Requirements

Qualified attorney with admission to at least one US state bar (e.g., California or Washington); strong interests in securities and corporate governance.
5–10 years of experience practicing securities law, preferably with in-house experience at a technology company.
Excellent negotiation, communication, and collaboration skills; ability to operate effectively in a fast-paced, high-growth environment.
Strong analytical abilities, attention to detail, and ability to manage competing priorities.

Location and work model
