Associate General Counsel, Commercial

Job Description

CoreWeave is seeking an Associate General Counsel, Commercial to lead all commercial contracting activities. This in-house role will support the sales, partnerships, product, and engineering teams worldwide, focusing on drafting and negotiating commercial agreements for cloud services and related technologies. The successful candidate will provide pragmatic legal guidance to enable business growth while managing risk and compliance.

Responsibilities

• Draft, review, and negotiate complex commercial contracts, including software licensing, service agreements, consulting arrangements, partnerships, and vendor agreements.
• Provide pragmatic legal advice on privacy, data protection, product, and regulatory issues related to commercial activities.
• Manage contract lifecycle from intake through execution and renewal, including redlining and negotiating terms.
• Collaborate with cross-functional teams (Sales, Product, Engineering, Security, Compliance) to align business objectives with risk management.
• Identify and mitigate legal and business risks, including data protection and export control considerations.
• Support corporate governance matters and assist with mergers and acquisitions or other strategic initiatives as needed.

Qualifications

• Juris Doctor from an accredited law school and admission to practice in the relevant jurisdiction (e.g., New Jersey or U.S. admission with eligibility for admission elsewhere).
• 5+ years of experience in commercial contracts, technology licensing, and vendor negotiations; in-house experience a plus.
• Strong negotiation, drafting, and communication skills; ability to work cross-functionally in a fast-paced environment.
• Familiarity with cloud services, data privacy laws, and regulatory considerations impacting technology companies.
• Ability to identify practical solutions, balance business needs with risk, and operate with integrity and professionalism.
