Contracts Counsel

📋 Description

• Draft, review, and negotiate MSAs, SOWs, CTAs, NDAs, and SaaS agreements.
• Serve as day-to-day counsel to affiliates and cross-functional teams on contracts.
• Triage requests and drive intake, approvals, execution, and CLM workflows.
• Identify issues: indemnities, liability, IP, confidentiality, privacy, and insurance.
• Work with InfoSec/Privacy to align obligations with internal controls.
• Develop templates, playbooks, and training to support contract lifecycle management.

🎯 Requirements

• J.D. from an accredited law school; active bar in at least one U.S. jurisdiction.
• 4–6 years of relevant experience, including 2+ years at a law firm.
• Life sciences/biotech/pharma or regulated industry experience preferred.
• Strong drafting/redlining skills; able to negotiate independently.
• Willingness to use AI tools routinely in contract work.
• Organized, responsive, and able to manage multiple priorities.
• Experience with sponsored research and clinical trial agreements.
