Contracts Attorney

📋 Description

• Draft, review, and negotiate MSAs, SaaS licenses, NDAs, and SOWs.
• Lead end-to-end vendor procurement contracting with risk triage and redlines.
• Support Sales on merchant/partner agreements, pricing, and enterprise deals.
• Negotiate technology agreements for payments, data, AI/ML, hosting, and fraud.
• Review DPAs, SCCs, and security exhibits with Privacy and InfoSec.
• Maintain contract templates, playbooks, and self-service resources.

🎯 Requirements

• J.D. from an accredited U.S. law school; active bar in at least one U.S. jurisdiction.
• 5–8+ years of combined law firm and/or in-house experience in commercial contracts.
• Strong drafting and negotiation of MSAs, SaaS, tech agreements, and vendor contracts at scale.
• Solid knowledge of commercial risk concepts: liability, indemnification, IP, warranties, SLAs.
• Clear drafting style; ability to work independently in a fast-paced, cross-functional environment.
• Experience with DPAs, privacy frameworks (GDPR/CCPA) and CLM tools; AI governance familiarity.
