Commercial Counsel

📋 Description

• Review and close complex commercial agreements (sales contracts, DPAs, NDAs, SOWs, MSAs).
• Identify contractual risks and propose alternatives for optimal solutions.
• Advise on AI, technology development, SaaS licensing, sourcing, and software integrations.
• Collaborate with Deal Desk, Sales, Procurement, Product and Finance to ensure compliant terms.
• Provide tactical and strategic advice to business and product leaders on transactions.

🎯 Requirements

• 3-5+ years negotiating SaaS, software licensing, and vendor contracts.
• J.D. from an accredited law school.
• US bar membership or qualified in-house under CA multi-jurisdictional practice.
• IP and data privacy terms experience with enterprise customers.
• Legal/business judgment, critical thinking, and multitasking.
• Independent, adaptive thinker with a pragmatic, business-focused mindset.
