Brex is a leading fintech company delivering innovative financial software for startups and growing businesses. We are seeking a Senior Commercial Counsel to help shape and govern our commercial agreements and partnerships.

Role

Commercial Counsel will lead the drafting, review, and negotiation of a broad range of commercial contracts, advise on risk and regulatory considerations, and partner with Sales, Product, Compliance, and other teams to enable scalable, compliant deals.

Responsibilities

• Draft, review, and negotiate commercial contracts including SaaS, licensing, services, partnerships, and vendor agreements.
• Provide guidance on risk, data privacy, regulatory, and compliance implications in deals.
• Collaborate cross-functionally with Sales, Product, Compliance, Legal, Security, and Finance to drive favorable, compliant commercial outcomes.
• Manage the contract lifecycle from negotiation through signature, renewal, and termination.
• Develop and maintain contract templates, playbooks, and negotiation norms to scale processes.

Requirements

• 5+ years of in-house or law firm experience focused on commercial contracts; fintech or technology experience preferred.
• Strong knowledge of contract law, privacy/regulatory frameworks (e.g., GDPR, CCPA) and data protection practices.
• Excellent drafting, negotiation, analytical, and communication skills.
• Ability to balance risk with business objectives and work effectively with cross-functional teams.
• Juris Doctor from an accredited law school; active bar admission in good standing.
