Berkadia is seeking a skilled Corporate Counsel to manage complex commercial real estate and financing transactions. Based in Ambler, Pennsylvania, this hybrid role combines in-house legal expertise with collaboration across business units to negotiate and structure transactions, manage risk, and support corporate governance.

Responsibilities

• Negotiate and draft loan documents, intercreditor agreements, participation agreements, and other commercial real estate finance documents.
• Coordinate with internal teams and external counsel to drive flawless transactional closings.
• Provide practical legal risk assessments and guidance on regulatory compliance and corporate governance matters.
• Support M&A activities, financings, securitizations, and related transactional processes.
• Draft, review, and negotiate procurement and vendor agreements as needed.

Qualifications

• J.D. from an accredited law school and bar admission in a relevant jurisdiction.
• 5+ years of corporate law experience, preferably in-house or at a law firm focused on real estate finance and corporate transactions.
• Strong negotiation, drafting, and analytical skills with attention to detail.
• Ability to manage multiple priorities and collaborate across teams in a hybrid work environment.
