Associate General Counsel, Private Funds

📋 Description

• Lead private fund formation, including LPs, JVs, co-investments, separate accounts.
• Support funds investing across real estate and other alt assets.
• Advise on fund governance, offering materials, side letters, and investor negotiations.
• Partner with external counsel to manage documentation efficiently and cost-effectively.
• Support fundraising by advising on legal, regulatory, and disclosure considerations.
• Review and negotiate investor-related agreements and ongoing investor communications.

🎯 Requirements

• JD from an accredited law school.
• 5+ years of experience in big law or in-house in investment management or financial services.
• Strong knowledge of private fund structures, securities laws, and investment-related transactions.
• Demonstrated ability to provide practical, business-oriented legal advice in a fast-paced environment.
• Excellent communication, negotiation, and stakeholder management skills.
• Experience supporting real assets, private equity, credit, or infrastructure investment strategies.
