Assistant General Counsel

📋 Description

• Advise Product/Engineering on new investment and brokerage features with regulatory balance.
• Structure and document products, including advisor tools, custodial features, and disclosures.
• Draft, review, and negotiate SaaS, data, and technology licenses; brokerage and partnership agreements; NDAs/MSAs/SOWs.
• Develop templates and playbooks to move quickly while managing legal risk.
• Partner with Compliance to align designs with SEC/FINRA rules.
• Support regulatory inquiries by preparing responses and explaining our legal positions.

🎯 Requirements

• At least 5 years of post-JD experience at a major law firm or regulator.
• Experience advising on products in regulated financial environments (broker-dealer, investment adviser, asset management).
• Strong interest in broker-dealer/investment adviser regulation; translate rules into guidance for Product/Engineering.
• Experience drafting and negotiating complex tech/SaaS, data, or distribution agreements.
• Ability to balance legal risk, regulatory expectations, and business objectives.
• Excellent written and verbal communication; tailor advice to engineers, executives, and regulators.
